Introduction

This Dealer Agreement ("Agreement") is entered into by and between Soft-Ice Catering Equipment ("Soft-Ice cc") and the Dealer ("Dealer") for the purchase and resale of Soft-Ice cc equipment. By signing this agreement, the Dealer agrees to abide by the terms and conditions outlined herein.

1. Discount Structure

Dealers receive a 20% discount on machines, excluding the following ice cream machines and their accessories: BqI12, Bq115t, SGF-1.
Items not specified above may be NETT; confirm discount eligibility before quoting customers.

2. Workshop Requirement

I Agree

To qualify for the 20% discount, the Dealer must have their own workshop facilities.
Soft-Ice cc offers training for Dealer employees to service & operate Chromecater and Beiqi machines at an hourly rate.

3. Training, Warranties, and Repairs

I Agree

Dealers are responsible for their own customer training, warranties, and repairs.
Faulty machines must be checked and serviced by your technicians before sending them back to Soft-Ice cc.
For warranty claims, faulty parts must be sent to Soft-Ice cc's workshop for assessment. The workshop will determine if the issue is warranty-related before any replacement is issued.
Dealers carry the warranty on products purchased from Soft-Ice cc.
Soft-Ice cc will not engage directly with the Dealer's customers.
Every customer buying a machine from you must be properly trained before operating the equipment.

4. Purchasing Process

Dealer submits a Purchase Order (PO).
Soft-Ice cc issues a Pro-Forma Invoice.
Full payment must be made based on the Pro-Forma Invoice.
No goods will be released until funds have cleared in Soft-Ice cc's account. Proof of payment will not be accepted as confirmation.
Card payments in-store void any applicable discount.
Only EFT or in-store cash payments are accepted.
Invoices will not be sent electronically. Original documents are provided upon goods collection. Dealers are responsible for claiming VAT on purchases.
No telephonic orders will be processed. All orders and changes must be submitted via email.
No discounts are available on locally supplied stock.
Submit orders to confirm applicable discounts.
No discount is permitted on any parts.
Dealers are responsible for any and all courier arrangements to and from Soft-Ice cc.
No stock will be reserved without payment.
Quotes will only be issued for items in stock. We do not quote on out-of-stock items.
We do not have ETAs for out-of-stock products as we import goods and cannot confirm arrival dates.
Please review your quote carefully and ensure all details are correct before making payments.

5. Branding and Marketing

Dealers must use Soft-Ice cc's ChromeCater and Beiqi logos on their websites and marketing materials.
Dealers will not receive refunds for client returns unless pre-approved by Soft-Ice cc.
Used machines will not be accepted for returns.
No additional discounts will be provided on special offers. Dealers will receive either their discount or the special price, whichever is cheaper.
No further discounts will be applied regardless of purchase quantity.

6. Stock and Parts Availability

Locally sourced products are not eligible for discounts.
Parts may occasionally be out of stock, and ETAs cannot be guaranteed.

7. Probation Period

I Agree

Dealers are placed on a two-month probationary period to monitor sales performance.
If sales do not meet the required threshold, the Dealer application will be cancelled.
